2. Account Registration

Insiderwave may suspend or terminate your account for violation of these Terms or at our discretion.

3. Brokerage Accounts & SnapTrade Integration

The Service enables you to link your brokerage account via SnapTrade, a secure third-party API provider. By using these features:

• You authorize Insiderwave to securely access, retrieve, and display your brokerage account information and transmit trade instructions per your commands.

• All trades are self-directed by you. Insiderwave does not execute trades directly or act as a broker-dealer, investment advisor, or money transmitter.

• Your brokerage account is governed by a separate agreement between you and your broker.

• Insiderwave is not responsible for execution failures, platform outages, or third-party errors.

• You may disconnect your brokerage account at any time in your account settings.

4. No Investment Advice

All content, alerts, and features provided through the Service are for informational and educational purposes only. Insiderwave does not provide personalized investment advice, recommendations, or endorsements of any securities.

You are solely responsible for your investment decisions. Past performance does not guarantee future results.

5. Paid Features & Subscriptions

Currently, the Service is free to use. We reserve the right to introduce paid subscriptions, premium features, or transaction fees in the future. When we do:

• Pricing and billing terms will be disclosed in advance.

• You will be required to opt in and authorize payment.

• Subscription periods may be monthly, quarterly, or annual.

• Prepaid fees are generally nonrefundable except as required by law or at our discretion.

You are responsible for all taxes and assessments associated with your use of the Service.

6. User Conduct

You agree not to:

• Use the Service in violation of any law or regulation.

• Impersonate another person or misrepresent your affiliation.

• Attempt unauthorized access, scraping, or reverse engineering of the Service.

• Upload malware, viruses, or harmful code.

8. User-Generated Content

If the Service allows you to post or share content (e.g., comments, trade ideas, or reviews):

• You retain ownership of your content but grant Insiderwave a worldwide, royalty-free license to use, reproduce, and display it in connection with the Service.

• You are responsible for ensuring your content complies with applicable laws and does not infringe others’ rights.

We reserve the right to remove content at our discretion.

9. Third-Party Services

The Service may include links to or integrations with third-party services (including SnapTrade and your brokerage). Insiderwave does not control or endorse these services and is not responsible for their terms, actions, or privacy practices.

Your use of any third-party service is at your own risk and subject to that service’s own agreements.

10. Data Accuracy & Synchronization

Account information displayed in the Service may not be real-time and may be delayed or inaccurate. Insiderwave makes no guarantee regarding the timeliness or accuracy of third-party data.

11. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied. Insiderwave does not guarantee that:

• The Service will be uninterrupted, secure, or error-free.

• Results or information obtained through the Service will be accurate or profitable.

• Data transmitted will be free from loss or corruption.

You use the Service at your own risk.

12. Limitation of Liability

To the fullest extent permitted by law:

• Insiderwave is not liable for indirect, incidental, consequential, or punitive damages.

• Insiderwave’s total liability to you will not exceed $100 or the total fees you paid to Insiderwave in the past six months, whichever is greater.

Some jurisdictions do not allow these limitations; they may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Insiderwave, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses arising out of:

• Your use of the Service.

• Your violation of these Terms.

• Your breach of third-party rights, including brokerage agreements.

This obligation survives termination of these Terms.

14. Market Risks & Volatility

You acknowledge that trading in securities can result in significant financial losses and that Insiderwave does not guarantee any outcome. Some securities may be illiquid, volatile, or subject to manipulation.

You alone are responsible for assessing the risks of your investments and should consult legal or tax professionals as needed.

15. Advertising

Insiderwave may include advertisements or sponsored content within the Service. Third-party advertisers are responsible for the accuracy and legality of their materials.

16. DMCA & Copyright Complaints

If you believe your copyright has been infringed, you may send a notice to info@insiderwave.app including:

• Identification of the copyrighted work.

• Identification of the infringing material.

• Your contact information.

• A statement of good faith belief that the use is unauthorized.

• A statement under penalty of perjury that you are authorized to act.

• Your signature.

Failure to comply with these requirements may invalidate your notice.

17. App Store & Google Play Terms

Apple App Store: These Terms are between you and Insiderwave, not Apple. Apple has no responsibility for the App or its content. Your use of the App must comply with the App Store Terms of Use. Apple is a third-party beneficiary of these Terms.

Google Play: If you acquire the App from Google Play, the Google Play Terms apply in addition to these Terms. Google does not have responsibility or liability related to compliance by either party under these Terms.

18. Suspension & Termination

Insiderwave may suspend or terminate your access to the Service at any time for any reason. You may also terminate your account at any time by contacting support.

19. Arbitration & Class Action Waiver

Informal Resolution: You agree to contact us first and attempt to resolve disputes informally.

Binding Arbitration: Any dispute arising under these Terms will be resolved by binding individual arbitration administered by the AAA.

Class Action Waiver: You agree to bring claims only in your individual capacity. No class or representative actions are permitted.

Governing Law: These Terms are governed by the laws of Delaware without regard to conflicts of law.

20. Equitable Remedies

You agree that Insiderwave may seek injunctive or equitable relief to prevent unauthorized use of its intellectual property or the Service.

21. Entire Agreement

These Terms constitute the entire agreement between you and Insiderwave regarding your use of the Service, superseding any prior agreements. If any provision is held invalid, the remainder remains enforceable.
